Parties and purpose

These terms are the contract between VIUZI ESP, SL (OnBio), tax ID B05735576, with its registered address at Calle Alejandro Dumas 17 - Oficinas, 29004 Málaga, Spain, and the person who signs up as an affiliate in the program of an OnBio creator (the affiliate). They govern how sales are attributed, how commissions are calculated and paid and which practices are prohibited when recommending products.

Each creator writes the terms of their own program, with their commissions per product, their signup mode and their promotion rules. The affiliate accepts both when signing up. If the creator’s terms contradict these on payments, taxes, personal data or prohibited practices, these prevail.

Who can be an affiliate

Any adult who has access to the member area of the creator’s store can sign up, in the mode the creator chooses: open signup, with approval or by invitation. To get paid commissions you must complete the tax and payout onboarding under «Payouts», which requires acting as a self-employed person or as a company with tax residence in Spain. The creator can approve, reject or remove an affiliate from their program.

Links and attribution

Each affiliate has a code and a link per product. A sale is attributed to the affiliate when the buyer arrives through their link, accepts the affiliate category in the cookie banner and buys within the attribution window of the program, which the creator sets between 1 and 90 days. If the buyer later arrives through another affiliate’s link, the sale belongs to the last one. Without consent to affiliate cookies the click is not recorded and the sale is not attributed. Purchases made by the affiliate themselves are not attributed.

Commissions

The creator sets the commission of each product as a percentage of the price without VAT or as a fixed amount per sale. They can make it recurring, so that a new commission arises with each renewal or each installment. It is calculated when the charge is confirmed and deducted from the net amount the creator receives. The affiliate sees in the store’s member area their clicks, their attributed sales and the status of each commission, without any personal data of the buyers.

Each commission is held until the guarantee of the order ends. For products without a guarantee, such as sessions or events, it is held until the day after the session or event and never less than 14 days from the payment. A commission stays held while the order has an open chargeback or refund request. If the order is refunded or a chargeback is lost before the commission is paid, the commission is cancelled, in proportion if the refund is partial.

Payouts

To get paid, the affiliate completes from the member area their tax and payout onboarding: their tax profile, the payout account at Stripe and the signature of the self-billing agreement and of the representation before the Spanish Tax Agency. A single onboarding works for the programs of every creator.

When the holding period ends, OnBio transfers the released commissions to the affiliate’s payout account and issues in their name the self-invoice with the applicable VAT and, where relevant, the personal income tax withholding. The affiliate is responsible for declaring that income in their taxes.

If, when the holding period ends, the affiliate has not completed their tax and payout onboarding, the commission is lost and its amount goes back to the creator. Seven days before that happens, OnBio emails the affiliate so they can complete it in time. If a transfer fails, OnBio retries it in the following cycles and notifies the affiliate and the creator.

Prohibited practices

When recommending products, the affiliate undertakes to act honestly and to comply with Spanish Unfair Competition Law 3/1991, Law 34/2002 on information society services and advertising rules. In particular, no affiliate may use these practices to obtain sales:

  • Sending marketing without consent, such as bulk emails, messages or comments.
  • Promising results, income or benefits the product does not advertise, or inventing reviews.
  • Impersonating the creator or OnBio, or using their brands in search ads without the creator’s permission.
  • Buying through their own link, asking others to do so in exchange for part of the commission or generating clicks and cookies without a real visit.
  • Publishing coupons or discounts the creator has not authorized.
  • Hiding that they earn a commission: each post with their link must be identified as advertising, for example with a visible «Ad» or «#ad», as commercial communication rules require.

If the affiliate breaks these rules, OnBio or the creator may suspend them. Commissions obtained through prohibited practices are cancelled and, if already paid, OnBio may claim them back.

Leaving and end of the program

The affiliate can leave a program at any time from the member area. The creator can close their program or remove an affiliate. In both cases, the commissions on sales already attributed are paid on their schedule, except those cancelled because of a refund, a chargeback or prohibited practices. If the creator stops selling on OnBio, their programs close under the same rules.

Personal data

OnBio processes the affiliate’s data (name, email, code, attributed clicks, commissions, tax profile and payout account) to run the program, pay them and meet its tax obligations, under its privacy policy. The creator sees in their panel the affiliate’s name, clicks, sales and commissions. The affiliate click is recorded without storing the IP address or any identifier of the visitor.

Liability, changes and applicable law

The affiliate answers for how they promote the products and holds OnBio and the creator harmless against claims arising from a breach of these terms. OnBio’s liability towards the affiliate is limited to the commissions due to them, except in cases of wilful misconduct or gross negligence.

OnBio publishes each new version of these terms with its effective date and notifies affiliates by email 30 days in advance when it affects their rights. No change affects commissions already earned. These terms are governed by Spanish law and, for any dispute, the parties submit to the courts of Málaga, unless the law gives the affiliate the right to litigate in their place of residence. They are concluded in Spanish; the English version is a translation.
