Parties
Prior self-billing agreement for invoicing by the recipient of the transactions, under article 5.2 of Spanish Royal Decree 1619/2012 approving the Invoicing Regulation, between VIUZI ESP, SL, tax ID B05735576, with its registered address at Calle Alejandro Dumas 17 - Oficinas, 29004 Málaga, Spain, trading as OnBio (the Recipient), and {legal_name}, tax ID {tax_id}, with its tax address at {fiscal_address} (the Creator).
Purpose
The Creator authorizes OnBio to issue, in the Creator’s name and on the Creator’s behalf, the invoices for the transactions the Creator carries out for OnBio through the platform. They are the licensing of digital products and the provision of the sessions, session packs and custom services that OnBio resells to buyers as merchant of record, the earnings from the referral program and the Creator’s share in a co-production. Each invoice is issued in the monthly settlement with the Creator’s own series assigned by the platform.
Affiliate variant. For whoever signs as an affiliate, the purpose of this agreement is limited to the commissions and earnings they obtain from OnBio in the creators’ affiliate programs. Their invoices carry the affiliate’s series, valid in every program they take part in.
Content of the invoices
Each invoice includes the details required by article 6 of Royal Decree 1619/2012 and the statement «Invoicing by the recipient». OnBio applies the VAT that corresponds to the regime and territory of the Creator’s tax profile and, when the Creator’s activity is professional, the personal income tax withholding set by law. Each invoice is recorded in the Verifactu system of Royal Decree 1007/2023 with the QR code that lets it be checked on the Spanish Tax Agency’s website.
Acceptance procedure
OnBio notifies each invoice to the Creator by email and leaves it in the panel for download. The Creator has fifteen calendar days from the notification to reject it from the panel or by writing to facturacion@onbio.es with the reason. If the Creator does not reject it within that period, the invoice is deemed accepted. If the Creator rejects it on good grounds, OnBio issues the corresponding corrective invoice within five working days.
Creator obligations
The Creator does not issue their own invoices for the transactions of this agreement. They keep their tax profile up to date and report any change of VAT regime, activity or tax address within fifteen days of it happening, because OnBio calculates each invoice with the current profile data. The Creator remains the taxpayer for the invoiced transactions and includes them in their returns.
Retention
OnBio keeps the invoices and their invoicing records for the periods required by tax and commercial law. It makes them available to the Creator in the panel and to the Spanish Tax Agency when it requires them.
Term and revocation
The agreement applies from its signature and for an indefinite period. The Creator can revoke it from the panel. The revocation takes effect at the end of the calendar month in which it is requested, so that the settlement of that month is issued with authorization. From the request on, the platform stops accepting sales that need this agreement.
Signature
The Creator signs this agreement electronically with the code of their two-step verification on {signing_date}. OnBio keeps the signed version, the hash of the document, the date, the IP address and the user agent. The Creator receives in their email a PDF copy of the signed agreement.
